What are nominee directors, shareholders and general partners?

A nominee is generally someone who holds a position in a company — such as a director, shareholder, or general partner — in name only, without actively participating in the running of the business or its decision-making.

If you are unsure whether a director or general partner in your business qualifies as a nominee, consider whether that person is genuinely involved in day-to-day operations and business decisions. If they are not, they may be considered a nominee.
